These Terms & Conditions govern your use of the Expectech Ltd website and the provision of IT services and consultancy by Expectech Ltd. Please read them carefully.

1 About Us

Expectech Ltd is a company incorporated in Scotland with Company Number SC790037. Our registered office is at 11 Tulip Drive, Glasgow, G77 6FT, United Kingdom.

We provide IT services and technology consultancy to business clients across Scotland and the United Kingdom. These Terms & Conditions apply to:

  • Use of our website at any domain operated by Expectech Ltd
  • All IT services, consultancy, and related services provided by Expectech Ltd
  • All quotations, proposals, and service agreements issued by Expectech Ltd

2 Website Use

By accessing and using our website, you confirm that you are at least 18 years old and accept these Terms & Conditions in full. You agree to use the website only for lawful purposes and in a manner that does not infringe the rights of others.

You must not:

  • Use the website in any way that violates applicable local, national, or international laws or regulations
  • Transmit unsolicited commercial communications (spam)
  • Attempt to gain unauthorised access to any part of the website or its related systems
  • Introduce viruses, trojans, or other malicious or harmful material
  • Reproduce, duplicate, copy, or re-sell any part of our website without our express written permission

3 Services

Expectech Ltd provides a range of IT services and consultancy. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate written Service Agreement, Statement of Work, or Proposal issued to the client.

No contract for services shall exist between Expectech Ltd and any client until:

  • A written proposal or quote has been issued by Expectech Ltd
  • The client has provided written acceptance (including by email)
  • Any required deposit or upfront payment has been received

Expectech Ltd reserves the right to decline any engagement at its discretion.

4 Fees & Payment

All fees for services will be as quoted in writing prior to commencement. Unless otherwise agreed in writing:

  • Invoices are payable within 30 days of the invoice date
  • Payment shall be made by bank transfer to the details provided on the invoice
  • All prices are exclusive of VAT unless stated otherwise
  • Late payment may incur interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate
  • Expectech Ltd reserves the right to suspend services where invoices remain unpaid beyond the payment term

5 Client Obligations

To enable Expectech Ltd to deliver services effectively, the client agrees to:

  • Provide timely access to systems, personnel, and information reasonably required
  • Ensure that all information provided to Expectech Ltd is accurate and complete
  • Obtain all necessary licences, consents, and permissions for any third-party software or systems
  • Maintain appropriate backups of data prior to any work being carried out by Expectech Ltd
  • Designate an appropriate point of contact for the engagement

6 Confidentiality

Both parties agree to keep confidential all information received from the other party that is marked as confidential or which is reasonably understood to be confidential, including but not limited to business information, client data, technical systems, and pricing.

This obligation does not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party prior to disclosure
  • Is required to be disclosed by law or a court of competent jurisdiction

Confidentiality obligations shall survive termination of any service agreement for a period of 3 years.

7 Intellectual Property

All intellectual property rights in materials, software, tools, methodologies, and documentation created by Expectech Ltd prior to or independently of a client engagement remain the exclusive property of Expectech Ltd.

Unless expressly stated in a written Service Agreement:

  • Bespoke deliverables created specifically for a client shall be owned by the client upon receipt of full payment
  • Expectech Ltd retains a non-exclusive licence to use general know-how and methodologies developed during the engagement
  • Any third-party software or licences remain subject to their respective owners' terms

8 Limitation of Liability

Nothing in these Terms & Conditions shall limit or exclude Expectech Ltd's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Subject to the above, Expectech Ltd's total liability to the client for any loss or damage arising out of or in connection with the provision of services shall not exceed the total fees paid by the client in the 3 months preceding the event giving rise to the claim.

Expectech Ltd shall not be liable for any indirect, consequential, special, or punitive losses, including loss of profit, loss of data, or loss of business opportunity, even if advised of the possibility of such losses.

9 Data Protection

Both parties shall comply with their respective obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Where Expectech Ltd processes personal data on behalf of a client, the parties shall enter into an appropriate Data Processing Agreement.

10 Termination

Either party may terminate a service agreement by providing written notice as specified in the relevant Service Agreement. In the absence of a specific notice period, 30 days' written notice shall apply.

Expectech Ltd may terminate a service agreement with immediate effect if the client:

  • Fails to pay any undisputed invoice within 60 days of the due date
  • Becomes insolvent, enters administration, or ceases to trade
  • Is in material breach of these Terms & Conditions and fails to remedy the breach within 14 days of written notice

Upon termination, all outstanding fees for work completed shall become immediately due and payable.

11 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, pandemic, flood, fire, power outages, internet service disruptions, or government restrictions.

12 Disclaimer

13 Governing Law & Disputes

These Terms & Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Scotland.

Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts, save that Expectech Ltd reserves the right to bring proceedings in the courts of any jurisdiction where the client is located.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good faith negotiation for a period of at least 30 days.

14 Changes to These Terms

Expectech Ltd reserves the right to update these Terms & Conditions at any time. The current version will always be published on our website with the effective date clearly shown. Continued use of our website or services following any changes constitutes acceptance of the updated terms.

For existing service agreements, any material changes to terms will be notified in writing with a minimum of 30 days' notice.
